Terms of service

These terms are the contract between you and us for the Flip to Win app and this website. Installing the app, or keeping it installed, means you accept them. They sit alongside Shopify's own terms, which also apply to your store and your app subscriptions.

Who you are dealing with

The app is operated by MDS Global, a sole proprietorship registered with the Dutch Chamber of Commerce (KVK 94937826, VAT NL005119590B24), established at Jan Pieterszoon Coenstraat 73BS, 3531EP Utrecht, the Netherlands. "We" in these terms means MDS Global. "You" are the merchant: a business installing the app on its Shopify store. The service is offered to businesses only, and the person installing the app confirms they are entitled to accept these terms for that business.

What the app does

Flip to Win adds a gift-reveal game page to your store and grants the gifts a shopper collects as real discounts in their cart. You choose the prize set, the destination page and the styling. The prize set is identical for every shopper by design: there is no draw, no odds, and no element of chance. The app is not a tool for running games of chance, and these terms prohibit using it as one.

Plans and billing

The free plan includes 300 human-qualified game-board views per calendar month, counted as defined on the pricing page. Paid plans have unlimited views and differ by features; current prices, billed monthly or annually, are on the pricing page and on Shopify's plan-selection page for the app. All charges are billed by Shopify and appear on your Shopify invoice; we never collect payment details ourselves. Charges are not refundable except where the law or Shopify's own policies require a refund.

You can change or cancel your plan at any time from Shopify's billing pages. Downgrading takes effect at the end of the period already paid for; uninstalling the app cancels the subscription. Development stores get the full feature set free. If we change a plan's price, the change applies from your next billing cycle at the earliest, and we will announce it in the app beforehand.

When a free-plan store passes its monthly view allowance, the game page stops rendering and sends shoppers directly to the destination product page instead. Ads keep working; only the game pauses, and the counter resets on the first of each month (UTC). On the free plan the game page shows a small "Powered by Flip to Win" badge; paid plans can remove it.

Your responsibilities

• The gifts are your offer to your customers. You are responsible for choosing them, keeping them available, and honouring them. The app grants discounts; it does not hold stock.
• Your advertising is yours: creatives, targeting, claims, and compliance with each ad platform's policies and with the consumer-protection and promotions law that applies to your business and your market.
• You must not use the app to run, or present anything as, a lottery, sweepstakes, raffle, prize draw, or any promotion involving chance or odds. The mechanic is deterministic; your copy must be too.
• Your own privacy policy must cover what happens on your store, including the gift attributes the game writes to carts and orders, as described in our privacy policy.
• Anything you upload or inject through the app (artwork, fonts, copy, custom CSS or HTML) must be yours to use and lawful. You must not use these to collect data from shoppers, to load malicious or tracking code, or to misrepresent the offer.
• You must not interfere with the app's discount logic, meter, or entitlements, probe or disrupt the service, or access another store's data.

Our responsibilities

We will run the service with reasonable skill and care, keep it available as best we can, and fix defects promptly. The game page is served from our infrastructure, so an outage there means the game does not render; where possible the page fails by redirecting shoppers to your destination page rather than showing an error. We may improve or change features over time; if a change materially reduces what your plan includes, we will announce it in the app first.

Availability and support

The service is provided without an uptime guarantee or service-level agreement. Support is provided at the level included with your plan, via support@fliptowin.app.

Data

How data is collected, processed and erased is set out in the privacy policy, which forms part of these terms. For your shoppers' data you are the controller and we act as your processor: we process it only to provide the service as you have configured it, we keep it confidential, we use only the sub-processors listed in the privacy policy (and will update that list before adding one), we pass Shopify-forwarded access and erasure requests through as described there, and we delete your store's data after uninstall. Intellectual property

We own the app, this website, and the Flip to Win name, logo and branding. You keep ownership of everything you upload (your artwork, fonts, copy and product data) and grant us only the licence needed to host and display it in your own campaigns. If you send us feedback or suggestions, we may use them without obligation.

No warranties

The service is provided "as is" and "as available". To the maximum extent the law allows, we make no warranties, express or implied, including fitness for a particular purpose or that the service will be uninterrupted or error-free. We do not warrant any particular conversion rate, revenue outcome, or advertising result.

Liability

To the maximum extent permitted by law, we are not liable for indirect or consequential losses, including lost profits, lost sales, lost data or lost ad spend. Our total liability in any twelve-month period is limited to the amounts you paid us for the app during that period. Nothing in these terms excludes or limits liability that cannot legally be excluded or limited, including liability for intent or gross negligence.

Indemnity

You will indemnify us against third-party claims arising from your promotions, your advertising, the content you upload, or your breach of these terms, including claims that a promotion you ran violated promotions, consumer or privacy law.

Suspension and termination

You can stop using the app at any time by uninstalling it. We may suspend or terminate access if the app is used in a way that breaks these terms, harms shoppers, creates legal risk, or puts our Shopify Partner status at risk, with notice wherever it is practical to give it. After termination, your data is handled as described in the privacy policy, and the sections of these terms that by their nature should survive (including Liability, Indemnity and Governing law) survive.

Force majeure

Neither of us is liable for failure to perform caused by events outside reasonable control, including outages of Shopify or our hosting providers, network failures, or acts of government. Your payment obligations for service already provided are not affected.

Changes to these terms

We may update these terms as the product changes. Material changes will be announced in the app before they take effect, and the date at the top of this page always tells you which version you are reading. Continuing to use the app after a change takes effect means you accept the updated terms; if you do not, uninstall the app.

General

If part of these terms turns out to be unenforceable, the rest stands. A failure to enforce a term is not a waiver of it. You may not assign these terms without our consent; we may assign them as part of a transfer of the business. These terms, the privacy policy and your plan selection are the entire agreement between us about the app. Notices to you may be given in the app or via Shopify; notices to us go to support@fliptowin.app.

Governing law

These terms are governed by the law of the Netherlands. Disputes go exclusively to the competent Dutch court for our place of business, unless mandatory law gives you another forum. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
